1. Acceptance of Terms

By accessing or using the Muang Ridge website at muang-ridge.pro ("the Website"), or by commissioning consulting services from Muang Ridge, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use the Website or our services.

These Terms and Conditions apply to all visitors, enquirers, and clients. They should be read alongside our Privacy Policy and Cookie Policy.

2. Consulting Services

2.1 Engagement Agreements

Consulting services provided by Muang Ridge are governed by a written engagement letter or service agreement issued to the client prior to commencement. The specific scope, deliverables, timeline, and fee for each engagement are set out in that agreement. In the event of any conflict between these Terms and a signed engagement agreement, the engagement agreement will prevail.

2.2 Service Descriptions

Descriptions of services on this Website are provided for general information purposes. They are indicative and do not constitute a contractual commitment. The scope of any engagement is confirmed only through a written agreement signed by both parties.

2.3 Client Cooperation

Effective consulting work requires reasonable cooperation from the client, including timely provision of relevant information, access to key personnel, and participation in scheduled working sessions. Muang Ridge is not responsible for delays or limitations in deliverable quality resulting from insufficient or late cooperation from the client side.

2.4 Professional Judgment

Our consulting work reflects the independent professional judgment of our team based on the information available at the time of the engagement. Recommendations and deliverables represent our best analysis, not a forecast or assurance of any particular outcome.

3. Use of This Website

You may use this Website for lawful purposes only. You agree not to:

• Use the Website in any way that breaches applicable laws or regulations.
• Transmit any unsolicited or unauthorized advertising or promotional material.
• Attempt to gain unauthorized access to any portion of the Website or its supporting systems.

4.2 Deliverables

Consulting deliverables produced for a client are owned by the client upon full payment of all fees due, unless otherwise specified in the engagement agreement. Muang Ridge retains the right to use anonymized methodologies, frameworks, and approaches developed during engagements for future work, provided no confidential client information is disclosed.

4.3 Pre-Existing Materials

Any tools, templates, or frameworks brought to an engagement by Muang Ridge as pre-existing intellectual property remain the property of Muang Ridge. Where these are incorporated into deliverables, the client receives a non-exclusive license to use them for their own internal purposes.

5. Confidentiality

Both parties to a consulting engagement recognize that the other may share confidential information in the course of the work. Muang Ridge treats all client information as confidential and does not disclose it to third parties except as required by law, or as strictly necessary to perform the engagement (for example, to a specialist subcontractor bound by equivalent confidentiality obligations).

Confidentiality obligations do not apply to information that: (a) was already in the public domain at the time of disclosure; (b) subsequently enters the public domain through no breach by Muang Ridge; (c) was independently known to Muang Ridge before disclosure; or (d) is required to be disclosed by law or court order.

Specific confidentiality terms for each engagement are set out in the engagement agreement.

6. Fees and Payment

Fee structures and payment schedules for consulting engagements are specified in the engagement agreement. Unless otherwise agreed:

• Invoices are payable within 14 calendar days of the invoice date.
• A deposit may be required before work commences, as specified in the engagement agreement.
• All fees are quoted in Thai Baht (฿) and are exclusive of VAT, where applicable under Thai tax law.
• Late payment may result in a pause in engagement activity until the outstanding balance is settled.

Expenses reasonably incurred during the course of an engagement (such as travel or specialist data) will be invoiced at cost, subject to prior agreement.

7. Limitation of Liability

To the fullest extent permitted by applicable Thai law, Muang Ridge's total liability to any client arising from a consulting engagement will not exceed the total fees paid by that client for the specific engagement from which the liability arises.

Muang Ridge is not liable for:

• Indirect, consequential, or incidental losses.
• Loss of profit, revenue, or business opportunity.
• Outcomes resulting from the client's implementation (or non-implementation) of our recommendations.
• Decisions made on the basis of third-party data or information that was inaccurate at the time it was provided to us.

Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

8. Warranties and Representations

Muang Ridge warrants that consulting services will be performed with reasonable professional skill and care. We do not warrant that any particular business outcome will result from our work, and no aspect of our service descriptions or communications should be interpreted as a representation that specific results will be achieved.

The Website is provided on an "as is" basis. We make no warranty that the Website will be uninterrupted, error-free, or entirely secure. We may update, modify, or take down Website content at any time without notice.

9. Termination

Either party may terminate a consulting engagement with reasonable written notice, subject to the specific terms in the engagement agreement. In the event of early termination:

• Muang Ridge will invoice for work completed and expenses incurred to the date of termination.
• Any completed deliverables will be provided to the client upon receipt of payment for work done.
• Confidentiality obligations survive termination.

Muang Ridge reserves the right to terminate an engagement immediately if the client engages in conduct that is unlawful, harmful, or materially in breach of the engagement agreement.

10. Third-Party Links

This Website may contain links to external websites for reference or convenience. Muang Ridge does not control, endorse, or take responsibility for the content, privacy practices, or availability of any linked third-party sites. Visiting external links is at your own discretion and risk.

11. Governing Law and Jurisdiction

These Terms and Conditions and any disputes arising from them are governed by the laws of the Kingdom of Thailand. Both parties submit to the non-exclusive jurisdiction of the Thai courts for resolution of any dispute that cannot be resolved through good-faith discussion.

Muang Ridge will always attempt to resolve any concern or dispute through direct, good-faith communication before any formal process is initiated.

12. Changes to These Terms

We may update these Terms and Conditions from time to time. Material changes will be indicated by an updated date at the top of this page. Continued use of the Website following any update constitutes acceptance of the revised terms.

Terms applicable to a specific consulting engagement are fixed at the date the engagement agreement is signed and are not affected by subsequent changes to these website terms.
